Overview

Welcome to Délice Pistachios. In these Terms, "we", "us", and "our" refer to Délice Empire Enterprise (Business Registration No. 202303184741 / SSM 003514018-A), a business registered in Malaysia and trading as Délice Pistachios.

We operate this store and website, including all related information, content, features, tools, products, and services (the "Services"). Our store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with the policies referenced in them, describe your rights and responsibilities when you use the Services. Please read them carefully — they include important information about your legal rights, and cover warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to them, you should not use or access the Services.

Section 1 — Access and account

By agreeing to these Terms, you confirm that you are at least 18 years of age, or the age of majority in your place of residence, and that you consent to any minor dependents using the Services on devices you own or manage.

To use the Services, including browsing our store or purchasing products, you may be asked to provide information such as your email address and billing, payment, and delivery details. You confirm that all information you provide is correct, current, and complete, and that you have the right to provide it.

You are responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign, or license your account to anyone else.

Section 2 — Our products

We make every effort to represent our products accurately. However, colours and appearance may differ from how they look on your screen, depending on your device and its settings. Our products are natural agricultural goods, and colour, size, and appearance vary between harvests and batches. Such variation is normal and is not a defect.

Product descriptions are subject to change at any time without notice. We may discontinue any product, and we may limit the quantities offered to any person, region, or jurisdiction on a case-by-case basis.

Section 3 — Food safety and allergens

Our products are food, and most are tree nuts or are processed in facilities that also handle tree nuts. They may contain traces of tree nuts and other allergens.

You are responsible for reading the product packaging and label before consuming or serving our products, and for checking their suitability for you or for anyone you serve them to. Information on our website, including in our blog and recipe content, is provided for general information only and is not nutritional, dietary, or medical advice.

Once delivered, our products must be stored as directed on the packaging. We are not responsible for deterioration caused by storage or handling after delivery.

Section 4 — Orders

When you place an order, you are making an offer to purchase. We reserve the right to accept or decline any order at our discretion. Your order is not accepted until we confirm acceptance, and we must receive and process your payment before an order is accepted.

Please review your order carefully before submitting it, as we may be unable to accommodate cancellation requests after an order has been dispatched. If we do not accept, change, or cancel an order, we will attempt to notify you using the email address, billing address, or phone number provided at the time the order was placed.

Returns and exchanges are governed solely by our Refund Policy.

Section 5 — Retail, wholesale, and export orders

Our online store is intended for retail and professional customers purchasing for their own use, including cafés, patisseries, restaurants, hotels, and culinary schools purchasing our products as ingredients.

Purchase through the online store does not grant you any right to distribute, resell, repackage, or re-brand our products, or to hold yourself out as an authorised distributor or agent of Délice Pistachios. If you wish to resell, distribute, or export our products, please contact us to discuss appropriate commercial terms.

Wholesale, bulk, distribution, and export transactions are governed by the terms of the relevant quotation, proforma invoice, or supply agreement. Where those terms conflict with these Terms of Service, those terms apply to that transaction.

If you purchase our products for onward shipment outside Malaysia, you are responsible for ensuring that the import, sale, and use of the products is lawful in the destination country, and for obtaining any permit, registration, licence, or certification required there. You must not misrepresent the origin, composition, or specification of our products.

Section 6 — Prices and billing

Currency. All prices, shipping charges, and refunds on our website are displayed, charged, and processed in Malaysian Ringgit (MYR), for every delivery destination, including Singapore. We do not currently offer checkout in any other currency.

If your payment method is denominated in another currency, your bank or card issuer converts the amount at their own exchange rate and may add a foreign transaction fee. That rate and any such fee are determined by your provider and are outside our control. Because refunds are also issued in MYR, and exchange rates move between the date of purchase and the date of refund, the amount you receive on a refund may differ from the amount originally debited. We are not responsible for that difference.

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect when the order is placed, as set out in your order confirmation.

Unless expressly stated otherwise, posted prices do not include shipping, handling, taxes, or any customs or import charges. Shipping is charged separately and is calculated at checkout — see our Shipping Policy.

We may run promotions that are governed by their own terms. If there is a conflict between the terms of a promotion and these Terms, the promotion terms govern that promotion.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases, and to keep that information up to date so that we can complete your transactions and contact you as needed. You confirm that any payment details you provide are true and complete, that you are authorised to use the payment method, and that you will pay the charges incurred at the posted prices, including shipping and any applicable taxes.

Section 7 — Shipping and delivery

Orders can be placed through our website for delivery in Malaysia and Singapore. Orders for delivery to any other country are arranged directly with us by WhatsApp or email, and may be subject to separate commercial terms.

Where an order is delivered outside Malaysia, any import duties, goods and services tax, clearance charges, and courier handling fees imposed in the destination country are payable by you and are not included in the price shown at checkout. You are responsible for ensuring that the products may lawfully be imported into the destination country and, where relevant, for holding any import licence or registration required there.

Delivery times are estimates only and are not guaranteed. We are not liable for delays caused by shipping carriers, customs processing, or other events outside our control. Once we hand products to the carrier, title and risk of loss pass to you, subject to your rights under our Refund Policy and applicable law.

Section 8 — Intellectual property

The Services, including all trademarks, brands, text, displays, images, graphics, reviews, video, and audio, and the design, selection, and arrangement of them, are owned by Délice Empire Enterprise, its affiliates, or its licensors, and are protected by Malaysian and international copyright, trademark, and other intellectual property laws.

These Terms permit you to use the Services for your personal or internal business use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material from the Services without our prior written consent. Nothing in these Terms grants you a licence or other rights under any patent, trademark, copyright, or other intellectual property of ours, of Shopify, or of any third party. All rights not expressly granted are reserved.

Our names, logos, product and service names, designs, and slogans are our trademarks or those of our affiliates or licensors, and may not be used without our prior written permission. Shopify's name, logo, and product names are trademarks of Shopify. All other names and marks appearing on the Services belong to their respective owners.

Section 9 — Optional tools

You may be given access to third-party tools through the Services that we neither monitor nor control. We provide access to such tools "as is" and "as available", without warranties, representations, or conditions of any kind and without endorsement. We have no liability arising from your use of optional third-party tools.

Any use of these tools is entirely at your own risk. Please make sure you are familiar with, and agree to, the terms on which the relevant third-party provider offers them.

We may offer new features through the Services in future. Those features form part of the Services and are subject to these Terms.

Section 10 — Third-party links

The Services may contain material and links relating to websites operated by third parties, including embedded third-party functionality. We are not responsible for examining or evaluating the content or accuracy of third-party materials or websites. If you leave the Services to access them, you do so at your own risk.

We are not liable for any harm or damage related to your use of third-party websites or your purchase of products or services from them. Please review the relevant third party's policies and practices before transacting with them, and direct any complaints or questions about third-party products and services to that third party.

Section 11 — Relationship with Shopify

Délice Pistachios is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Délice Empire Enterprise. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and us, including any injury, damage, or loss resulting from purchased products and services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with us.

Section 12 — Privacy

All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may also be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read both.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit will be transmitted to and shared with Shopify and with third parties that may be located in countries other than where you reside. See our Privacy Policy for details.

Section 13 — Feedback

If you submit any ideas, suggestions, feedback, reviews, proposals, or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute, and display that Feedback in any medium and for any purpose, including commercial use.

You confirm that: you own or have all necessary rights to your Feedback; you have disclosed any compensation or incentive received in connection with it; and it complies with these Terms. We are under no obligation to keep Feedback confidential, to pay for it, or to respond to it.

We may, but are not obliged to, monitor, edit, or remove Feedback we consider unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable, or that infringes any party's rights or these Terms.

Your Feedback must not infringe any third-party right, must not be unlawful, abusive, or obscene, and must not contain any virus or malware. You may not use a false email address, impersonate anyone, or otherwise mislead us or others as to the origin of your Feedback. You are solely responsible for your Feedback and its accuracy, and we assume no liability for Feedback posted by you or any third party.

Section 14 — Errors, inaccuracies, and omissions

Occasionally there may be information in the Services that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. We reserve the right to correct any such error and to change or update information, or cancel orders, at any time without prior notice, including after you have submitted an order.

Section 15 — Prohibited uses

You may access and use the Services for lawful purposes only. You may not use the Services, directly or indirectly: for any unlawful or malicious purpose; to violate any applicable law or regulation; to infringe our intellectual property rights or those of others; to harass, abuse, defame, or harm any of our staff or any other person; to transmit false or misleading information; to send unsolicited advertising or spam; to impersonate any person or entity; or to engage in conduct that restricts anyone's use or enjoyment of the Services, or that may harm us, Shopify, or other users, or expose them to liability.

You also agree not to: upload or transmit viruses or other malicious code; reproduce, duplicate, copy, sell, or resell any part of the Services; collect or track the personal information of others; spam, phish, pretext, spider, crawl, or scrape; or interfere with or circumvent the security features of the Services or any related website.

We may suspend, disable, or terminate your account at any time, without notice, if we determine that you have breached any part of these Terms.

Section 16 — Termination

We may terminate this agreement or your access to the Services, in whole or in part, at our discretion and at any time without notice. You will remain liable for all amounts due up to and including the date of termination.

The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and any other provision that by its nature should survive.

Section 17 — Disclaimer of warranties

Information presented on or through the Services is made available for general information purposes only. We do not warrant its accuracy, completeness, or usefulness, and any reliance you place on it is at your own risk.

EXCEPT AS EXPRESSLY STATED BY US, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU IN FULL.

Section 18 — Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DÉLICE EMPIRE ENTERPRISE, OUR PARTNERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT PURCHASED THROUGH THEM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot lawfully be excluded or limited under Malaysian law. Where our liability cannot be excluded, it is limited to the amount you paid for the relevant order.

Section 19 — Indemnification

You agree to indemnify, defend, and hold harmless Délice Empire Enterprise, Shopify, and our affiliates, partners, officers, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable legal fees, payable to any third party arising out of: your breach of these Terms or the documents they incorporate by reference; your violation of any law or the rights of a third party; or your access to and use of the Services.

We will notify you of any indemnifiable claim, although a failure to notify promptly will not relieve you of your obligations unless you are materially prejudiced. We may control the defence and settlement of such a claim at your expense, including the choice of counsel, but will not settle a claim requiring non-monetary obligations from you without your consent, which must not be unreasonably withheld. You will cooperate in the defence of indemnified claims, including by providing relevant documents.

Section 20 — Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforceable to the fullest extent permitted by law, and the unenforceable portion will be severed. This will not affect the validity and enforceability of the remaining provisions.

Section 21 — Waiver and entire agreement

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with any policies or operating rules we post on this site, constitute the entire agreement between you and us regarding your use of the Services, and supersede any prior agreements, communications, and proposals, whether oral or written, including any earlier versions of these Terms. Any ambiguity in interpretation will not be construed against the drafting party.

Section 22 — Assignment

You may not delegate, transfer, or assign these Terms or any of your rights or obligations under them without our prior written consent, and any attempt to do so is void. We may transfer, assign, or delegate these Terms and our rights and obligations without your consent or notice to you.

Section 23 — Governing law and jurisdiction

These Terms of Service, and any separate agreement under which we provide you Services, are governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles. You and Délice Empire Enterprise submit to the exclusive jurisdiction of the courts of Malaysia.

Nothing in this section affects any mandatory consumer rights available to you under the law of your country of residence.

Headings are included for convenience only and do not limit or otherwise affect these Terms.

Section 25 — Changes to these Terms

You can review the most current version of these Terms at any time on this page. We reserve the right to update, change, or replace any part of them by posting updates to our website, and it is your responsibility to check this page periodically. We will notify you of material changes in accordance with applicable law. Your continued use of the Services after changes are posted constitutes acceptance of those changes.
